Binding Agreement
By accessing theblackfoxstudio.com or placing an order, you are entering a legally binding agreement. If you do not agree to these Terms, please stop using the site immediately.
Introduction & Acceptance
By accessing theblackfoxstudio.com or placing any order with BLACKFOX DIGITAL (“Studio,” “we,” “us”), you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
These Terms apply to all orders, whether placed via the website order form, email, or direct communication with our account managers. We may update these Terms at any time; the current version is indicated by the date shown above. Continued use of our services after an update constitutes acceptance of the revised Terms.
Services Provided
BLACKFOX DIGITAL provides professional image post-production services including background removal, clipping path creation, ghost mannequin editing, colour correction, image masking, shadow and reflection work, product and beauty retouching, photo restoration, and web image optimisation. Each service is delivered to the specifications agreed at the time of order.
We reserve the right to decline any order that conflicts with our editorial standards, is technically infeasible with the supplied assets, or involves content that violates applicable law. Custom service configurations are available on request and subject to separate written agreement.
Client Responsibilities
You are responsible for submitting source files of sufficient quality and resolution for the requested service. You must hold all necessary rights or licences for any images submitted for editing. By submitting files, you confirm that you are authorised to do so and that the images do not infringe any third-party intellectual property rights.
Accurate brief instructions must accompany each order. BLACKFOX DIGITAL bears no responsibility for output that deviates from unclear, incomplete, or retroactively changed instructions. You agree not to submit images that are unlawful, defamatory, or in violation of any applicable regulation.
Intellectual Property
Upon receipt of full payment, all intellectual property rights in the edited assets are assigned exclusively to you, the client. BLACKFOX DIGITAL retains no licence to use, sublicence, or distribute your edited files after delivery and payment.
We retain full ownership of our proprietary workflows, automation tools, internal processes, and technical know-how. Unless waived in writing before order completion, we reserve the right to include anonymised or credited edited images in our technical portfolio and marketing materials for the purpose of demonstrating service quality. This right may be waived upon written request prior to order completion.
Payment Terms
Payment is due upon delivery of the final edited files unless a credit facility has been established in writing. We accept PayPal, SWIFT bank transfer, Wise, and Payoneer. Volume accounts with an approved credit facility operate on Net-30 invoicing cycles from the date of invoice.
Prices quoted in emails or on the website are valid for 30 days and confirmed in the order acknowledgement. All prices are exclusive of applicable local taxes, duties, or VAT, which remain the client's responsibility. We reserve the right to adjust pricing for orders that materially exceed the originally quoted scope.
Invoicing & Late Payment
Invoices are issued upon delivery of final files. For credit-term accounts, invoices are due within 30 calendar days of the issue date. Late payments accrue interest at 2% per month on the outstanding balance from the due date until settled in full.
We reserve the right to suspend service delivery for accounts with overdue balances exceeding 14 days without an agreed resolution plan. Disputed invoices must be raised in writing within 7 days of receipt; payment of any undisputed portion remains due on the standard schedule.
Turnaround & Delivery
Standard turnaround is 24 hours for batches up to 500 images, measured from receipt of complete source files and a confirmed brief. Larger batches are delivered on a rolling schedule agreed at the time of order placement. Express (12-hour), Super Rush (6-hour), and Emergency (3-hour) options are available at an additional surcharge confirmed in the order.
Turnaround times are estimates based on normal operating conditions. BLACKFOX DIGITAL is not liable for delays caused by force majeure events, incomplete or late submissions, extended client approval cycles, or third-party infrastructure outages. We will proactively notify you of any anticipated delay.
Revisions & Quality Guarantee
We offer unlimited free revisions within 14 calendar days of delivery, provided the revision request is consistent with the original brief. Requests that represent a material change to the original brief — such as a new style direction, different background colour, or additional editing technique not in the original scope — constitute a new order and will be quoted accordingly.
If the delivered output genuinely and demonstrably fails to meet the agreed specification after one revision cycle, we will issue a credit note or partial refund at our discretion. We do not offer refunds where the dissatisfaction is attributable to inadequate source material quality, retroactively changed requirements, or subjective preferences not specified in the original brief.
Confidentiality
All submitted assets, creative briefs, client data, and communications are treated as strictly confidential. Source files and edited deliverables are stored in encrypted cloud environments during production and purged within 30 days of delivery, unless you have requested extended retention in writing.
We do not share, sell, or grant access to your assets to any third party except subcontractors operating under equivalent confidentiality obligations and solely for service delivery purposes. Enterprise clients requiring a formal mutual NDA prior to first order may request one from our account team.
Third-Party Tools
We use industry-standard software including Adobe Photoshop, Adobe Illustrator, and Adobe Lightroom to deliver our services. These applications and our cloud storage providers are governed by their own terms and privacy policies. We remain responsible for the quality and security of your data throughout the production workflow, regardless of the specific tools employed.
We do not use fully automated AI processing as the primary or sole editing method. All final outputs are reviewed, quality-checked, and approved by human editors before delivery.
Termination
Either party may terminate an ongoing retainer or volume service arrangement with 30 days' written notice. We may terminate immediately and without notice in cases of non-payment, material breach of these Terms, submission of prohibited or unlawful content, or any conduct that exposes BLACKFOX DIGITAL to legal liability.
Upon termination, payment is due for all work completed and delivered up to the termination date. Files delivered prior to termination remain subject to these Terms with respect to ownership, intellectual property, and confidentiality obligations.
Limitation of Liability
To the maximum extent permitted by applicable law, BLACKFOX DIGITAL's total liability for any claim arising from or in connection with our services shall not exceed the total fees paid by the client for the specific order in dispute during the three months preceding the claim.
We are not liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of business, loss of anticipated savings, or business interruption, even if we have been advised of the possibility of such damages. This limitation applies regardless of the legal theory under which any claim is brought — contract, tort, strict liability, or otherwise.
Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the People's Republic of Bangladesh. For EU-resident clients, mandatory consumer protection provisions of the applicable EU member state law shall apply to the extent required by applicable law, and shall prevail over these Terms to that extent.
Any dispute not resolved through good-faith negotiation within 30 days of written notice shall be submitted to the exclusive jurisdiction of the courts of Dhaka, Bangladesh, unless mandatory EU consumer law requires a different forum. The parties agree that the United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply to these Terms.
